This End User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User”, “Merchant”, “You”) and Caship Consumer Networks Private Limited (“Caship”, “Company”, “We”, “Us”, “Our”).
This Agreement governs your access to and use of:
- Caship Website (www.caship.in)
- Caship Mobile Application (User App)
- Caship Merchant Application
- Caship Support Ticket System and Helpdesk
- Any related software, APIs, dashboards, tools, or digital services (collectively, the “Platform”).
By accessing, installing, registering, or using any part of the Platform, you agree to be bound by this EULA. If you do not agree, you must immediately discontinue use.
1. License Grant
Subject to compliance with this Agreement, Caship grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended lawful purposes.
This license does not transfer ownership of the Platform or any intellectual property.
2. Scope of Use
For Users:
- Access loyalty features, rewards, memberships, and support services.
- Use the Platform for personal, non-commercial purposes unless expressly permitted.
For Merchants:
- Access merchant dashboards, loyalty tools, listings, analytics, and support services.
- Use the Platform strictly for business purposes related to merchant participation.
Any use outside the permitted scope is strictly prohibited.
3. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.
You agree to:
- Provide accurate and complete information.
- Immediately notify Caship of unauthorized access or security breaches.
- Accept responsibility for actions performed under your account.
4. Restrictions
You shall not:
- Copy, modify, reverse engineer, decompile, or disassemble the Platform.
- Sell, sublicense, lease, or commercially exploit the Platform without permission.
- Use the Platform for unlawful, fraudulent, misleading, or abusive activities.
- Create fake accounts, manipulate rewards, or misuse loyalty mechanisms.
- Interfere with Platform security, performance, or integrity.
Violation may result in suspension or permanent termination.
5. Intellectual Property Rights
All rights, title, and interest in the Platform — including software, design, logos, trademarks, content, databases, and code — belong exclusively to Caship Consumer Networks Private Limited.
Nothing in this EULA grants you ownership or intellectual property rights.
6. Updates & Modifications
Caship may:
- Release updates, upgrades, patches, or new features.
- Modify or discontinue parts of the Platform at any time.
Continued use constitutes acceptance of such changes.
7. Support Ticket System
The Support Ticket System is provided as a facilitation tool for issue reporting and communication.
Caship does not guarantee resolution timelines but commits to reasonable efforts based on issue priority, severity, and verification.
Abuse of the support system may result in restricted access.
8. Data & Privacy
Your use of the Platform is subject to Caship’s Privacy Policy.
By using the Platform, you consent to the collection, processing, and storage of your data in accordance with applicable Indian laws, including the Digital Personal Data Protection Act, 2023.
9. Third-Party Services
The Platform may integrate third-party services (payment gateways, analytics, communications, merchant systems).
Caship is not responsible for third-party terms, performance, or failures.
10. Suspension & Termination
Caship reserves the right to suspend or terminate access without notice if:
- This EULA is violated.
- Fraudulent, abusive, or unlawful activity is detected.
- Required by law or regulatory authority.
Upon termination, all licenses granted under this EULA immediately cease.
11. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis.
Caship disclaims all warranties, express or implied, including but not limited to:
- Fitness for a particular purpose
- Accuracy or uninterrupted availability
- Error-free operation
12. Limitation of Liability
To the maximum extent permitted by law, Caship shall not be liable for:
- Indirect, incidental, consequential, or special damages
- Loss of data, profits, business, or goodwill
- Actions of merchants, users, or third parties
13. Indemnification
You agree to indemnify and hold harmless Caship, its directors, employees, and affiliates from any claims, damages, or liabilities arising from:
- Your use of the Platform
- Violation of this EULA
- Violation of applicable laws or third-party rights
14. Governing Law & Jurisdiction
This EULA shall be governed by and construed in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts at New Delhi, India.
15. Changes to This Agreement
Caship may revise this EULA at any time. Updated versions will be published on the Platform.
Continued use after changes constitutes acceptance.
